9) Where you are invited to submit any information to grasslandseeds.co.uk you agree, by submitting your contribution, to grant Wynnstay Group Plc a perpetual, royalty-free, non-exclusive, sub-licenseable right and license to use the information, in accordance with privacy restrictions set out in the Wynnstay Group Plc Privacy Statement. If you do not want to grant to the Wynnstay Group Plc the rights set out above, please do not submit your information to grasslandseeds.co.uk.

10) Further to paragraph 9, by submitting your information to grasslandseeds.co.uk, you warrant that your contribution:

- is your own information and that you have the right to make it available to Wynnstay Group Plc for all the purposes specified above;
- is not defamatory; and
- does not infringe any law; and
- indemnify Wynnstay Group Plc against all legal fees, damages and other expenses that may be incurred by Wynnstay Group Plc as a result of your breach of the above warranty; and
- waive any moral rights in your contribution for the purposes of its submission to and publication on grasslandseeds.co.uk and the purposes specified above.

General:

11) If there is any conflict between these terms and specific terms appearing elsewhere on grasslandseeds.co.uk (including local house rules) then the latter shall prevail.

12) If any of these terms are determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these terms are intended to be effective, then to the extent and within the jurisdiction in which that term is illegal, invalid or unenforceable, it shall be severed and deleted from these terms and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable. By placing an order and confirming payment on the website of Wynnstay Group Plc you are entering into a legally binding contract in accordance with the following terms and conditions of sale.

Prices:

The price of the goods shall be the price listed on our website on the date of your order, inclusive of any VAT(where applicable) which may be payable by you. All prices displayed on the website are quoted in UK Pounds Sterling and must be paid in full, including delivery charges. All prices may vary.

Whilst Wynnstay Group Plc will try to ensure that prices on the website are accurate, we are not responsible for errors that may occur. If we discover any errors in the price of goods before we accept your order, we will notify you as soon as possible and give you the option to resubmit your order at the correct price or cancel the order. The price of all goods and services advertised are inclusive of any applicable taxes including VAT.

Availability:

All goods and services are subject to availability. If for any reason an item is out of stock, then we make contact to discuss what alternative products are available and/or to inform you of any delay in despatch. We reserve the right to make amendments to the grass mixture range if varieties are unavailable. Any goods, services or information displayed on this website should not be regarded as an offer, invitation, solicitation, advice or recommendation to buy a product or service on the website.

No warranties or representations are made about any goods other than as expressly contained in this website. To the extent permissible by law all implied terms, whether by statute or otherwise, are excluded.

Ordering:

We will treat each order for goods, which is confirmed when you click the 'Send Order ' button on the Checkout screen, as an offer by you to purchase the goods and services subject to these terms and conditions. We shall supply you, subject to availability, with the quantity and specification of goods set out in your order. Any email or other electronic acknowledgement by us of receipt of an order placed by you does not constitute legal acceptance by Wynnstay Group Plc of your order. Acceptance of your order and the completion of the contract between you and Wynnstay Group Plc, will take place on despatch to you of the products ordered, unless we have notified you that we do not accept your order or you have cancelled it.

Payment:

Payment may be made by any of the methods indicated on the website. Goods will not be shipped unless payment is received in full. Your card details are passed to SagePay Payment Interface for processing.

Delivery:

Delivery shall be made at the address specified by you at the time of ordering. We will make every effort to deliver within the times specified, but delivery times quoted are approximate only and we cannot be held responsible for any inconvenience arising from failure to provide the advertised service because of factors which could reasonably be considered to be outside our control. Risk of damage or loss of the goods shall pass to you at the time of delivery to the specified delivery address.

Right to Cancel:

Under the Distance Selling Regulations, you have the right to cancel your order for any item purchased on this website for a full refund. Cancellations may only be made prior to despatch of the goods. To cancel your order, email us at info@grasslandseeds.co.uk or telephone us on 0800 1164656.

Cancellation & Returns Policy:

Cancelling an order prior to despatch:

If you wish to cancel your order please notify us by email to info@grasslandseeds.co.uk before we have despatched the goods to you.

Orders cannot be cancelled after the goods have been despatched.

Returns

We are not able to accept returns.

Limit of Liability:

Wynnstay Group Plc's liability for any injury, damage or loss, in particular consequential loss, arising from the use of any goods purchased via this website, or from the transaction itself, are hereby excluded. Any injury, damage or loss arising directly from the negligence of Wynnstay Group Plc or any of its agents will be limited to a refund of the value of the goods purchased together with any delivery charges paid.

Seed Quality

Seeds sold by us are guaranteed to comply at time of delivery with the UK Seeds Regulations currently in force. All germination figures quoted are laboratory tests as defined by OSTS and/or EU Regulations and are notthe figures that can be expected in the field. If certificates of conformity are required please request these at time of ordering.

Defective, Damaged Goods:

If, in the unlikely event, your goods arrive in a damaged condition or are defective, you must inform us within 48 hours stating the order number and the nature of the defect or shortage. Failure to do so will deem that you have accepted the goods. If goods are damaged in transit it is essential that the delivery sheets must be signed as "damaged in transit". Failure to do so will mean that any claim for such damage cannot be entertained.

Confidentiality:

Whilst all reasonable care is taken to protect the confidentiality of your credit card details and personal information, Wynnstay Group Plc cannot be liable if, through no fault of its own, these details are intercepted by and used by a third parties.

Law & Jurisdiction:

These terms shall be governed by and construed in accordance with UK law. Wynnstay Group Plc is a company registered in England and Wales under number 2704051 whose registered office is Eagle House, Llansantffraid Ym Mechain, Powys, SY22 6AQ. VAT registration number 159 1866 30

Nothing in these terms and conditions will reduce your statutory rights relating to faulty or misdescribed goods.
